This Dealer Policy describes the standards expected of businesses authorized to sell or support STH and Green Power products. A signed dealer agreement and product-specific commercial terms take priority.
Draft website policy for implementation. Replace all demonstration contact details, warranty periods, operational promises and company identifiers with verified STH information, then obtain review from a Bangladesh-qualified legal professional before publication.
Authorization
Dealer status exists only after written approval or a signed agreement. An application, purchase inquiry, verbal discussion, social-media post or use of a logo does not establish authorization.
Authorization may be limited by product, territory, channel, duration, volume or other written conditions.
Eligibility and due diligence
STH may assess business registration, location, market experience, customer base, showroom or storage, technical capacity, reputation, financial capability and territory needs.
STH may request documents or references and may refuse, defer or condition approval.
Products and ordering
Dealers may offer only products and configurations supplied or approved for them. Orders are subject to written availability, price, payment, delivery and allocation terms.
Dealer status does not guarantee stock, credit, protected margin, minimum price or exclusive supply.
Accurate representation
Dealers must communicate model, specification, included items, performance limitations, warranty and support accurately and must not make unsupported guarantees.
Range, cycle life, savings, charging time and service-life claims must match approved materials or clearly stated conditions.
Customer and product records
Dealers should issue accurate invoices or receipts, preserve required serial and purchase information and support registration or claim records where applicable.
Dealers must protect customer information and use it only for legitimate transaction, support and legal purposes.
Installation and technical work
A dealer must not perform high-current electrical, battery, braking, steering or suspension work without appropriate people, tools and controls.
Only compatible products, chargers, connectors and approved configurations should be installed or recommended.
Warranty and claims
Dealers must explain that warranty is product-specific and subject to records, conditions and inspection. They must not independently expand STH warranty without written authority.
Claims should be routed promptly with complete information, and potentially unsafe products handled only according to instructions.
Brand and marketing
STH and Green Power names, logos, product images and marketing materials may be used only within written authorization and current brand guidelines.
Dealers must stop using the marks, signage, listings and authorization claims when approval expires or is terminated.
Pricing and competition
Dealers remain responsible for complying with applicable pricing, competition, tax and trade requirements. Any recommended price is non-binding unless lawful and expressly stated otherwise.
Dealers must not mislead customers about discounts, stock, affiliation or urgency.
Territory and online sales
Territory or channel limitations apply only when written. Authorization in one location or category does not imply nationwide, online or cross-border authorization.
Dealers should not appoint sub-dealers or resellers without written permission where the agreement requires approval.
Monitoring and corrective action
STH may review dealer listings, customer complaints, product records, branding and compliance with the agreement.
STH may request correction, suspend supply, remove a listing or terminate authorization according to the agreement and applicable law.
No agency unless agreed
A dealer is an independent business and has no authority to bind STH, make commitments on STH’s behalf or represent itself as an employee, branch or legal agent unless a signed agreement states otherwise.
